TERMS & CONDITIONS
Please read these Terms and Conditions (“Terms”) carefully before engaging with any services provided by the Antrum Group of Companies Ltd or its subsidiaries. By engaging our services, signing a contract, or using our website, you agree to be bound by these Terms.
1. General Provisions & Corporate Structure
These Terms apply to all interactions with Antrum Group of Companies Ltd (RC: 8946012) and its specialized subsidiaries.
The “Group” refers collectively to the parent company and the following entities:

AET Power Solutions Ltd (APS) – RC: 1713225
Antrum Energy Trilemma Ltd (AET) – RC: 7251713
1.1 Acceptance of Terms: Engagement of any service offered by the Group constitutes acceptance of these General Terms and the specific Division Terms relevant to the service rendered.
1.2 Modification: The Group reserves the right to modify these terms at any time. Significant changes will be communicated to active clients via official channels.
2. Engineering & Technology Services (AET)
Applicable Entity: Antrum Engineering and Technology Company (Nigeria) Limited (RC: 1246959)
2.1 Scope of Services (DIMO Framework)
Services include but are not limited to: Electrical Power Reticulation (HV/LV), LVDP Installation, Electronic Circuitry Design, Technical Due Diligence, and Street Lighting projects.
2.2 Project Execution & Site Access
The Client shall provide unhindered access to the project site for AET personnel and equipment. Delays caused by restricted access or third-party interference may result in project timeline extensions and additional costs.
2.3 Technical Due Diligence & Advisory
Advisory reports (e.g., Power Integration Advisory) are based on the data available at the time of inspection. AET is not liable for latent defects in existing infrastructure that were concealed or inaccessible during the due diligence process.
2.4 Material Procurement
All materials procured by AET for installation (cables, panels, circuitry) remain the property of AET until full payment has been verified. AET warrants that all materials used meet standard industrial quality specifications.
3. Power Solutions Services (APS)
Applicable Entity: AET Power Solutions Ltd (RC: 1713225)
3.1 Power-as-a-Service (ROVA Framework)
Under the Rental, Operation, Vending, and Assurance (ROVA) model, APS retains ownership of all generation assets (generators, power plants) unless a specific “Lease-to-Own” agreement is signed. The Client pays for the service/capacity or energy consumed.
3.2 Generator Rental Terms
Deployment: Equipment will be deployed upon receipt of the agreed mobilization fee.
Fueling: Unless a “Wet Lease” (fueled) is agreed upon, the Client is responsible for providing clean, quality diesel/gas. APS is not liable for equipment failure due to contaminated fuel provided by the Client.
Usage Hours: Rental rates are based on agreed daily running hours. Excess usage will attract prorated charges.
3.3 24/7 Operations & Vending
For managed estates and mini-grids, APS reserves the right to disconnect supply to any unit/off-taker with outstanding payments on Vending platforms. Service restoration is subject to full clearance of arrears.
4. Energy Trilemma Services (AET Energy)
Applicable Entity: Antrum Energy Trilemma Ltd (RC: 7251713)
4.1 Renewable Energy Systems (Solar/BESS)
System Performance: Energy generation estimates (e.g., Solar PV yield) are based on historical weather data. Actual generation may vary due to weather conditions, shading, or panel soiling not caused by AET Energy.
4.2 Energy Efficiency Management (EEMS)
Savings projections provided during Energy Audits are estimates based on standard usage patterns. Actual savings depend on the Client’s strict adherence to recommended behavioral changes and equipment upgrades.
4.3 Smart Metering & Data
Data generated by Smart Metering solutions (SMS) remains confidential. However, AET Energy reserves the right to use anonymized, aggregated data for system optimization and reporting purposes.
5. Payment & Invoicing
5.1 Invoicing: Invoices will be issued by the specific subsidiary rendering the service.
5.2 Payment Terms: Standard payment terms are 70% Mobilization and 30% upon Completion/Commissioning, unless otherwise stated in a specific Service Level Agreement (SLA).
5.3 Late Payment: Invoices outstanding beyond 30 days may attract interest at the prevailing Central Bank of Nigeria (CBN) monetary policy rate plus 2%.
6. Liability & Warranties
6.1 Standard Warranty: Antrum Group provides a standard 6-month workmanship warranty on all engineering installations. Equipment warranties are subject to the Original Equipment Manufacturer (OEM) terms.
6.2 Limitation of Liability: The Group shall not be liable for indirect, consequential, or special damages (including loss of profit or data) arising from service interruptions, provided the Group has acted with reasonable professional diligence.
6.3 Force Majeure: The Group is not liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, strikes, government regulations, or national grid collapse.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any dispute arising out of or in connection with these Terms shall first be settled amicably through negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act.
